Chapter 1. General provisions
Article 1.1 Definitions
- Amsterdam Gift Studio, we, us: the business behind amsterdamgiftstudio.nl, Chamber of Commerce (KvK) number 34354551, reachable through the contact details at the bottom of this page.
- Website: amsterdamgiftstudio.nl and the associated ordering and proposal environment.
- Customer: the natural or legal person who enters into an Agreement with us, as a Business Customer or as a Consumer Customer.
- Business Customer: a Customer who, when placing the order, acts in the course of a profession or business.
- Consumer Customer: a Customer who does not act in the course of a profession or business.
- Products: the gifts, corporate gifts and bespoke products we offer, including personalisation.
- Agreement: the agreement between us and the Customer for the purchase of Products or the execution of bespoke work.
Article 1.2 Applicability
- These terms apply to every offer we make and to every Agreement concluded through the Website.
- When completing an order, you indicate whether you are ordering as a Business Customer or as a Consumer Customer. Provisions expressly linked to one of these groups apply only to that group.
- For Consumer Customers we do not deviate from statutory consumer protection. Where a provision in these terms would conflict with it, the statutory rule applies instead.
- Deviations from these terms are only valid if we have confirmed them in writing.
- We expressly reject any general or purchasing terms of the Customer.
Chapter 2. Offer, prices and formation
Article 2.1 Prices
- Prices on the Website are in euros and exclusive of VAT, unless expressly stated otherwise. When completing an order you see the applicable VAT amount and the total including VAT.
- For bespoke work and larger quantities we prepare a proposal with tailored prices. That proposal is non-binding until you confirm it in writing or through the Website.
- Any shipping costs, where applicable, are stated to you before you complete the order or in the proposal.
- An obvious error or mistake in a price quotation, for example due to a technical fault, does not bind us.
- Prices and availability on the Website are subject to change. If it turns out after your order that a displayed price was incorrect or out of date, or that a Product is no longer available, we are not obliged to carry out the order at that price or with that Product. We will let you know as soon as possible, and in any case before delivery. You then choose whether we carry out the order at the correct price or with a suitable alternative, or whether you cancel the order free of charge. On cancellation we refund any amount already paid in full.
Article 2.2 Formation of the Agreement
- The Agreement is concluded at the moment we confirm your order or, in the case of a proposal, at the moment you accept that proposal in writing or through the Website.
- We may refuse an order without giving reasons or attach additional conditions to it, for example in case of doubt about creditworthiness or an unusually large quantity.
Chapter 3. Delivery and risk
Article 3.1 Delivery
- We deliver with care and within the period stated with the order or in the proposal. Delivery periods are indicative.
- Exceeding a delivery period does not give a right to compensation or termination, unless we have been given formal written notice of default with a reasonable further period and that period has also not been met.
Article 3.2 Transfer of risk
- For Business Customers, the risk of damage to or loss of Products passes as soon as the Products have been handed over to the carrier.
- For Consumer Customers, the statutory rule of article 7:11 of the Dutch Civil Code applies instead: the risk only passes at the moment of delivery to you.
Chapter 4. Payment
Article 4.1 Payment methods
- You pay directly by iDEAL or credit card when completing the order or, as a Business Customer, by invoice within 14 days of delivery.
- If you pay by iDEAL or credit card, our payment service provider Mollie processes the payment. We only receive the payment status, not card or account details.
Article 4.2 Late payment
- If you do not pay an invoice within the agreed period, you are in default without further notice.
- For Business Customers, the statutory commercial interest applies from that moment, and reasonable costs of extrajudicial collection are for your account.
- For Consumer Customers, we first send a reminder with a payment period of 14 days. If payment is still not made after that, the statutory consumer interest and the statutory collection costs apply, in accordance with the Dutch Decree on compensation for extrajudicial collection costs (Besluit vergoeding voor buitengerechtelijke incassokosten).
Chapter 5. Withdrawal and cancellation
Article 5.1 Consumer Customers: right of withdrawal
- As a Consumer Customer, you have the right to withdraw from an order within 14 days of receipt without giving reasons, in accordance with section 6.5.2B of the Dutch Civil Code.
- This right of withdrawal does not apply to Products we have personalised or made to measure specifically for you, for example with a name, logo or your own text, in accordance with article 6:230p under c of the Dutch Civil Code.
- To withdraw, contact us within the period using the contact details at the bottom of this page. We refund the price paid, including standard shipping costs, within 14 days after we have received the Product back or you have provided proof of return. The costs of returning are for your account.
Article 5.2 Business Customers: cancellation
- No statutory right of withdrawal applies to Business Customers.
- Cancelling an order or proposal is only possible with our prior written consent. If we consent, you owe at least the costs of materials already ordered, work already carried out and Products already made, possibly increased by reasonable compensation for other damage.
Chapter 6. Complaints and liability
Article 6.1 Complaints
- Check the delivered Product immediately after receipt. Report a visible defect to us within five working days of delivery, with a clear description of the complaint.
- For Consumer Customers, the statutory conformity period also applies. The five working days are an arrangement to resolve complaints quickly and do not affect your statutory rights.
Article 6.2 Liability
- We are liable for direct damage that is the direct result of a shortcoming attributable to us.
- Liability for indirect damage, such as lost profit, missed savings or reputational damage, is excluded to the extent permitted by law.
- Our liability is limited to the invoice value of the order concerned, up to a maximum of the amount our liability insurance pays out in the case in question. This limitation does not apply in case of intent or deliberate recklessness on our part and does not affect the statutory rights of Consumer Customers.
Chapter 7. Other provisions
Article 7.1 Intellectual property
All intellectual property rights to the Website, designs and materials used rest with us, unless agreed otherwise in writing. For bespoke work with the Customer's own logo or design, the Customer retains its rights to it.
Article 7.2 Applicable law and disputes
- Dutch law applies to every Agreement.
- Disputes are submitted in the first instance to the competent court in Amsterdam. If you are a Consumer Customer, you have one month, after we have invoked this provision in writing, to choose the court that has jurisdiction under the law.
